No purchase or payment of any kind is necessary to enter or win. A purchase will not increase your chance of winning. Void where prohibited by law.

Important: Please read these Official Rules, which are a contract, carefully before entering. Without limitation, this contract includes agreement to arbitrate disputes, indemnities to the Sponsor from you, and a limitation of your rights and remedies. By taking any steps to participate, you agree to be bound by these Official Rules and represent that you satisfy all of the eligibility requirements.

1. OVERVIEW

  • The Country Party Ride + Boots Giveaway by Landman (“Sweepstakes”) is sponsored by SoulCycle LLC (“Sponsor”), 609 Greenwich Street, New York, NY 10014. The Sweepstakes is governed by these official rules (“Official Rules”) and is void where prohibited by law.

  • The Sweepstakes is comprised of separate drawings for each Country Party Ride + Boots Giveaway by Landman themed class (“Themed Class”) at select SoulCycle studio locations (each a “Drawing”), with each Drawing having a separate entry period (each a “Drawing Entry Period”) as set forth below.

2. ELIGIBILITY

  • Open to legal residents of the 50 United States and the District of Columbia who are at least eighteen (18) years of age. Those participating in a SoulCycle Class to earn entries must meet the standard physical requirements to participate in a class, including a minimum height of 4 feet, 11 inches.

  • Employees, personnel, officers, directors, members, managers, agents, and representatives of Sponsor, Paramount Skydance, prize providers, or any other entities participating in the design, promotion, marketing, administration, or fulfillment of this Sweepstakes, or any of their respective corporate partners, parent companies, divisions, subsidiaries, affiliates, successors in interest, and advertising, promotion, and public relations agencies (collectively, the “Released Parties”), and the immediate families (spouse, partner, parent, legal guardian, sibling, child, grandparent, or grandchild, regardless of residence) and members of the same household (whether legally related or not) of each such individual, are ineligible to participate or win.

  • Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions.

3. HOW TO ENTER

  • Eligible individuals (“Entrants”) can enter a Drawing for an eligible ride/studio location as follows.

  • Register for a Themed Class to earn one (1) entry into the Drawing for the Themed Class. Any registration that is subsequently cancelled prior to the Themed Class start time will not earn an entry into the Drawing.

  • SoulCycle Classes are strenuous and physically demanding. It is your responsibility to ensure that you do not exceed your physical limits or over-exert yourself. If you choose to participate in the Sweepstakes, you assume these risks of your own free will and accord.

  • Enter for free without registering for a Themed Class: Mail a 3" x 5" card with first and last name, email address, and SoulCycle studio location holding the Themed Class Drawing you wish to enter in a handwritten envelope with proper postage via USPS to SoulCycle, 609 Greenwich Street, New York, NY 10014 to earn one (1) entry into the applicable Drawing for the SoulCycle studio noted on the card. Each mail-in entry must be in a separate handwritten envelope, and each must be mailed separately. Sponsor is not responsible for lost, late, damaged, illegible, misdirected, or postage-due mail-in entries. Mail-in entry must be postmarked by the Entry Deadline for the applicable Drawing as set forth above, except if the Entry Deadline is a Sunday in which case the mail-in entry must be postmarked by the next day that is not a federal holiday, and received within 7 days following the date of postmark. Photocopied or mechanically reproduced envelopes or entries are not eligible. All mail-in entries become the property of Sponsor and will not be returned or acknowledged. Mail-in entries are “received” when the complete, legible entry is physically delivered to the address listed above and in the possession of Sponsor.

  • Limit: One (1) entry into a Drawing per person, regardless of the method of entry used. Entries may not be acknowledged. Those who do not provide the entry information or abide by these Official Rules and Sponsor’s instructions may, in Sponsor’s sole discretion, be disqualified and the associated entry void.

  • Attempts to submit entries in excess of any limit or otherwise in violation of these Official Rules by using multiple or false contact information or otherwise may be disqualified. Purported entries that are forged, altered, incomplete, lost, late, misdirected, mutilated, illegitimate, unintelligible, garbled, or generated by a macro, bot, or other automated means will not be accepted and will be void. Entries or participation made on an Entrant’s behalf by any other individual, or by any entity or group, will be declared invalid and disqualified. No Released Party will have any responsibility or liability for any dispute regarding any Entrant. If any dispute regarding an entry cannot be resolved to Sponsor’s satisfaction, the entry will be void.

4. WINNER SELECTION/NOTIFICATION

  • Within approximately 8 days after the end of all Drawing Entry Periods, one (1) potential winner from each Drawing will be selected in a random drawing from among all eligible entries received.

  • The Entrant selected as a potential winner for each Drawing (each a “Winner”) will be notified by email within two (2) business days of the drawings, using the email address associated with their SoulCycle account or provided in their mail-in entry.

  • If a selected Winner is deemed ineligible, fails to comply with these Official Rules, does not respond and/or complete any required Winner Documents (defined below) by the stated deadline, or is not available to claim the prize, the prize may be awarded to an alternate winner, as determined by Sponsor in its sole discretion, even if publicly announced.

  • If any prize, prize notification, or Sweepstakes-related communication is rejected, faulty, or undeliverable; if a Winner does not respond according to instructions; or if a Winner fails to comply with these Official Rules, the prize may, in Sponsor’s sole discretion, be forfeited and an alternate winner selected (time permitting) based on the original or another fair method. Sponsor is not obligated to pursue more than three (3) alternates per prize.

  • To claim a prize, a Winner must follow the directions in these Official Rules, the winner notification, and as otherwise communicated by Sponsor. Winner may, in Sponsor’s sole discretion, be required to complete, sign, notarize (if applicable), and return a declaration/affidavit of eligibility, liability/publicity release, and tax forms (collectively, the “Winner Documents”) within five (5) business days (or other time frame specified). If Winner is a minor in their jurisdiction of residence, Winner’s parent or legal guardian must complete and return all Winner Documents and the prize may be awarded to the parent or legal guardian.

  • Decisions of the Sponsor are final on all matters relating to the Sweepstakes.

PRIZE, ODDS & APPROXIMATE RETAIL VALUE (“ARV”)

  • Each Drawing Winner will receive a $250 boot shop gift card. ARV per Drawing prize: $250. Limit: one prize per person.

  • Odds of winning depend on the number of eligible entries received for the applicable Drawing.

  • All prize details not specifically stated in these Official Rules will be determined by Sponsor in its sole discretion. Any taxes (federal, state, provincial, or local) and any expenses in excess of the prize amount are the sole responsibility of Winner. Sponsor is not responsible for and will not replace any lost, mutilated, or stolen prize, or any prize that is undeliverable or does not reach a Winner because of incorrect or changed contact information. If Winner does not accept or use the entire prize, the unused portion is forfeited and Sponsor has no further obligation. No transfers or prize substitutions will be made, except at Sponsor’s sole discretion. Sponsor may substitute the stated prize with a prize of equal or greater value for any reason. No more than the stated prize will be awarded. Prizes will be fulfilled within 6 weeks following Winner verification/confirmation.

5. LIMITATION OF LIABILITY

  • To the fullest extent permitted under applicable law, each individual entering the Sweepstakes agrees to release, hold harmless, and indemnify each of the Released Parties from and against any liability whatsoever for injuries or damages of any kind sustained in connection with participating in the Sweepstakes, including participation in a SoulCycle Class; the acceptance, use, misuse, or awarding of the prize; or while preparing for, participating in, and/or traveling to or from any prize or Sweepstakes-related activity, including, without limitation, any injury, damage, loss, death, or accident to/of person or property.

  • The limitations set forth in this section will not limit or exclude the Released Parties’ liability for personal injury or tangible property damage caused by the Released Parties, or for the Released Parties’ gross negligence, fraud, or intentional, willful, malicious, or reckless misconduct.

  • To the fullest extent permitted by applicable law, Winner agrees that the prize is provided as-is without any warranty, representation, or guarantee, express or implied, in fact or in law, whether now known or hereinafter enacted, relative to the use or enjoyment of the prize, including, without limitation, its quality, merchantability, or fitness for a particular purpose.

  • Each Entrant understands and agrees that all rights under Section 1542 of the Civil Code of California and any similar law of any other eligible jurisdiction are hereby expressly waived by them against the Released Parties.

“A general release does not extend to claims which the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

6. ADDITIONAL DISCLAIMERS

  • Released Parties are not responsible and/or liable for: illegitimate/automated entries; entries in excess of any stated limit; lost, late, incomplete, illegible, unintelligible, garbled, mutilated, or misdirected entries, email, mail, or Sweepstakes-related correspondence or materials; postage-due mail; any error, omission, interruption, defect, or delay in transmission or communication; viruses or technical/mechanical malfunctions; interrupted or unavailable cable or satellite systems; errors, typos, or misprints in these Official Rules or related materials; failures of electronic equipment, computer hardware, or software; lost or unavailable network connections; failed, incorrect, incomplete, inaccurate, garbled, or delayed electronic communications or entry information; undeliverable electronic communications due to filtering or insufficient space; or contact information that does not work or is changed without prior written notice to Sponsor.

  • Without limiting any other provision, Released Parties are not responsible or liable to any Winner or claimant for failure to supply the prize or any part thereof if Sweepstakes activities or Released Parties’ operations are affected, as determined by Sponsor, including, without limitation, by: acts of God; governmental action/regulation/order/request (valid or not); equipment failure; threatened terrorist acts, terrorist acts, air raid; blackout; act of public enemy; earthquake; war (declared or undeclared); fire; flood; epidemic; explosion; unusually severe weather; hurricane; embargo; labor dispute or strike (legal or illegal); labor or material shortage; transportation interruption; work slow-down; civil disturbance; insurrection; riot; or any law/rule/regulation/order/other action by any governmental authority; or any other cause, whether or not specifically mentioned.

7. GENERAL RULES

  • By entering the Sweepstakes (except where prohibited), each Entrant grants the Released Parties the irrevocable, sublicensable, absolute right and permission to use, publish, post, or display their name, photograph, likeness, voice, prize information, biographical information, any quotes attributable to them, any other indicia of persona, and any information contained in or submitted as part of their entry (whether altered, changed, modified, edited, used alone, or used with other material) for advertising, trade, promotional, and publicity purposes without further obligation or compensation, anywhere, in any medium now known or hereafter devised (including on the Internet), worldwide, without limitation of time, and without notice, review, or approval. Entrant releases all Released Parties from any and all liability related thereto. Nothing obligates Sponsor to make use of any of the rights granted herein; Winner waives any right to inspect or approve any such use.

  • Sponsor’s decisions are final in all matters relating to the Sweepstakes. Failure to comply with these Official Rules may result in disqualification. Participants agree not to damage or cause interruption of the Sweepstakes. Sponsor may void entries of any Entrants believed to have tampered with or impaired the administration, security, fairness, or proper play.

  • Sponsor’s failure or decision not to enforce any provision will not constitute a waiver. In the event of ambiguity, discrepancy, or inconsistency between statements in materials and/or these Official Rules, Sponsor will resolve in its sole discretion. Entrants waive any right to claim ambiguity.

  • If Sponsor determines that a winner or potential winner is disqualified, ineligible, in violation of these Official Rules, or engaging in obnoxious, inappropriate, threatening, illegal, or harassing behavior, Sponsor may disqualify that person, even if previously notified or announced.

  • If the Sweepstakes is not capable of running as planned for any reason, Sponsor may cancel, modify, or suspend and award the prize from eligible entries received prior to such action or as otherwise deemed fair. If any person supplies false information, obtains entries by fraudulent means, or violates these Official Rules in an attempt to obtain any prize, Sponsor may disqualify that person and seek damages; violators may be prosecuted.

  • CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF A SWEEPSTAKES VIOLATES CRIMINAL AND CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.

8. GOVERNING LAW / DISPUTES / ARBITRATION

  • You agree that these Official Rules and your participation are governed by the laws of the State of New York. Both you and Sponsor waive the right to a trial by jury and the right to bring or resolve any dispute as a class, consolidated, representative, collective, or private attorney general action. Notwithstanding any JAMS rules to the contrary, the arbitrator shall not have the authority to hear arbitration as a class, consolidated, representative, collective, or private attorney general action or to consolidate/join claims of different persons.

  • The parties agree to finally settle all disputes only through arbitration; however, Sponsor may seek injunctive or equitable relief in state and federal courts in or having jurisdiction over New York, New York (and any other court with jurisdiction). In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment may be entered in any court with jurisdiction.

  • Except as set forth above, any claim will be resolved solely by binding arbitration before a sole arbitrator under the streamlined arbitration rules & procedures of JAMS Inc. (“JAMS”) (or successor). If JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a demand for arbitration, either party can elect another mutually agreeable administrator. If an in-person hearing is required, it will take place near Sponsor’s offices in New York, New York or—if required by JAMS’ Rules—in or near participant’s county/state of residence. Applicable federal or state law will apply during arbitration.

  • Disputes will be arbitrated only on an individual basis and will not be consolidated with proceedings of other parties, including any class actions or class arbitrations; provided, however, if any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate does not apply and the dispute must be brought in a court of competent jurisdiction in New York, New York.

  • Sponsor agrees to pay the administrative and arbitrator’s fees to conduct the arbitration (excluding any travel or other costs of Entrant to attend the hearing). Either party may bring qualifying claims in small claims court. You will not seek or be entitled to rescission, injunctive, or other equitable relief to enjoin or restrain the operation or exploitation of the Sweepstakes.

  • Batch Arbitration: To increase efficiency, if 50 or more similar individual arbitration demands are filed against Sponsor or another Released Party by/with the assistance of the same law firm(s) or organization(s) within approximately 30 days (or in close proximity), JAMS will administer them on a collective basis as a single, consolidated arbitration (single set of fees/schedule/hearing) before a single arbitrator, consistent with this section. If impracticable or inequitable to administer all matters collectively, the arbitrator may group matters into groups of not fewer than twenty (20) matters, plus a remainder group as needed, and arbitrate each group as a single, consolidated arbitration (“Batch Arbitration”). The parties agree to work with the administrator in good faith and agree that requests are of a “similar nature” if they arise out of the same event, agreement, or factual scenario and raise the same or similar legal issues and seek the same or similar relief. Disagreements over the applicability of this Batch Arbitration process will be settled in a single, consolidated arbitration including all affected parties and resolved by a single arbitrator. This Batch Arbitration provision shall not be interpreted as authorizing a class or collective arbitration or action of any kind, or any suit or arbitration involving joint or consolidated claims, other than as expressly set forth in this section.

  • Entrant further agrees: (x) under no circumstances will Entrant be permitted to obtain awards for, and Entrant waives all rights to claim, punitive, incidental, consequential, or any other damages, other than actual out-of-pocket expenses; (y) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs; and (z) Entrant’s remedies are limited to a claim for money damages (if any). The prior limitation on damages is not intended to limit the Released Parties’ obligation (if any) to pay prevailing party costs or fees if recoverable under applicable law.
