SOULCYCLE x CIRCLE SWEEPSTAKES OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. 

1. PRELIMINARY INFORMATION: By entry into the Sweepstakes, you accept and agree to be bound by these official rules (“Official Rules”).  The SoulCycle Circle Sweepstakes (the “Sweepstakes”) is sponsored by SoulCycle LLC. Located at 609 Greenwich Street, New York, NY 10014 (“SoulCycle”).  The Sweepstakes is subject to all applicable federal, state, municipal, provincial, and local laws and regulations. Void in Quebec and where prohibited by law. 

2. ELIGIBILITY: “Entrant” means each individual that is eligible to enter the Sweepstakes by satisfying the following requirements. The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia, and England who are, as of the date of entry, at least eighteen (18) years of age. Individuals who at any point during the Sweepstakes Period who are not permitted to enter SoulCycle facilities will not be eligible to enter or win.  Employees, independent contractors, officers, and directors of SoulCycle and its affiliates and subsidiaries, and any of SoulCycle’s agencies involved in the Sweepstakes, and all such employees’ immediate family members (spouse/domestic partner, parents, children, siblings and their respective spouses) and/or those living in the same household of each (whether legally related or not), as well as former employees of SoulCycle who were terminated for cause, are not eligible to enter or win. 

Entrants must have a free Instagram account to enter. There is no purchase required to register for an Instagram account.  Entrants must adjust their account settings so that their Instagram account is not “private” in order to be eligible to enter the Sweepstakes.  Visit instagram.com for more information on how to open an account and adjust account settings.  Please note that you must agree to comply with the Instagram Terms of Use in order to create an Instagram account.  Entrants are responsible for their own mobile devices and Internet and cellular access. Data rates may apply. Entrants must also have a valid email address on file with SoulCycle. 

3. SWEEPSTAKES ENTRY PERIOD:  The Sweepstakes entry period (“Sweepstakes Period”) begins January 25, 2022 immediately after the Sweepstakes call to action is posted) and ends January 30, 2022 at 11:59:59 PM PST.

4. HOW TO ENTER THE SWEEPSTAKES: At the start of the Sweepstakes Period, SoulCycle will release a call to action via the @soulcycle account on Instagram.  In order to enter and participate in the Sweepstakes, eligible Entrants must, during the Sweepstakes Period:

(1)   Follow @soulcycle and @circle_sportswear on Instagram. on Instagram and look for a post describing the Sweepstakes call to action (the “Sweepstakes Post”);

(2)   Like Sweepstakes Post; and

(3)   Comment on Sweepstakes Post

 Entries that are removed, hidden or deleted from public viewing prior to date of Winner verification will be void and disqualified.  All qualifying Entries are eligible to win a Prize.

 Should multiple users of the same Instagram/e-mail account enter the Sweepstakes and a dispute thereafter arise regarding the identity of the Entrant, the authorized account holder of said Instagram/e-mail account at the time of entry will be considered the Entrant.  “Authorized account holder” means the individual who is assigned an Instagram account by Instagram, or an e-mail address (that is associated with the Instagram account) by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. Entrants can only use one Instagram account to enter the Sweepstakes and may not enter with multiple Instagram/e-mail accounts, nor may Entrants use any other device or artifice to enter multiple times above the stated limit or as multiple Entrants.

 When participating in the Sweepstakes, all Entrants must continue to comply with SoulCycle’s terms and conditions, including any other waivers or documentation, and all other standard rules, policies and procedures of SoulCycle and/or the SoulCycle studio locations (collectively, “Rider Terms”).  SOULCYCLE RESERVES THE RIGHT TO, IN ITS SOLE DISCRETION, DISQUALIFY ANY ENTRANT SOULCYCLE FINDS TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE SWEEPSTAKES OR INSTAGRAM, INCLUDING WITHOUT LIMITATION BY ATTEMPTING TO OBTAIN ADDITIONAL ENTRIES, WHETHER THROUGH USE OF ROBOTIC, AUTOMATIC, PROGRAMMED OR OTHER LIKE MEANS, AND SOULCYCLE FURTHER RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.  ANY ENTRIES THAT DO NOT COMPLY WITH THESE OFFICIAL RULES WILL BE VOID AND DISQUALIFIED.

 5. RANDOM DRAWING: Two (2) potential winners will be randomly selected on or about January 30, 2021 from among all eligible entries received.  Odds of winning depend on the number of eligible entries received.

6. COMMUNICATION WITH POTENTIAL WINNERS:  SoulCycle will contact the potential winner by sending a direct message (DM) from the @soulcycle Instagram account to the Instagram account associated with the potential winner’s Entry on/about one (1) business day after selecting the potential winner, but notification may be expedited or delayed in SoulCycle’s sole discretion. A potential winner must reply to DM and provide any additional information (e.g., email address) within forty-eight (48) hours. A potential winner may be required to provide identification sufficient to demonstrate ownership of the Instagram account used to enter, including without limitation by providing the original photo/video file of his/her Entry, if applicable, in SoulCycle’s sole discretion. If a potential winner’s response is not received within forty-eight (48) hours after the initial DM was sent, or if the DM is returned as undeliverable, SoulCycle may, in its sole discretion, disqualify the potential winner without further notice and either forfeit the Prize or select an alternate potential winner. As a condition of winning, SoulCycle may also require potential winners to sign an Affidavit/Declaration of Eligibility (certifying, among other things, that the potential winner complied with the Official Rules), Release of Liability, and/or Prize Acceptance Form (collectively “Winner Documents”). All such documents must be completed and returned to SoulCycle within five (5) days of attempted delivery of the same to the potential winner.  If a potential winner does not complete such documentation within such period, or SoulCycle’s initial delivery of the same is returned as undeliverable or the potential winner is otherwise deemed ineligible, not in compliance with these Official Rules or declines to accept the Prize, SoulCycle may, in its sole discretion, disqualify the potential winner without further notice and either forfeit the Prize or select an alternate potential winner. All results are unofficial until SoulCycle’s acceptance of each potential winner’s claim of the Prize and completion of required Winner Documents (once accepted, each a “Winner”). Once verified, Winners may claim Prizes in accordance with SoulCycle’s instructions.  Entrants that do not win will not be notified. SoulCycle is not responsible for any change of email address, mailing address and/or telephone number of Entrants.

7. PRIZES AND APPROXIMATE RETAIL VALUE (“ARV”): A total of two (2) prizes (the “Prize(s)”) will be available to be awarded in this Sweepstakes.  Each Prize consists of the Entrant’s choice of either one (1) set of a sports bra and leggings (ARV: $205 USD) or one (1) set of a t-shirt and shorts (ARV: $170 USD).   

 ARVs are determined as of the date of the start of the Sweepstakes Period.  The difference in value of a Prize as stated herein and value at time of prize notification, if any, will not be awarded.  Prizes will be awarded “as is” with no warranty or guaranty, either express or implied by SoulCycle. Prizes are non-transferable, non-descendible, and have no cash value or equivalent. SoulCycle cannot guarantee availability of a particular size and reserves the right to substitute an alternative size.  All federal, state, provincial and/or local taxes and other costs or assessments resulting from the acceptance of a Prize, regardless of whether it, in whole or in part, is used, are the sole responsibility of the applicable Winner and Winners may be subject to withholding tax. Winners who are US residents may be required to provide SoulCycle with a valid social security number or tax identification number for tax reporting purposes before the Prize will be awarded, and may be issued an IRS 1099 form for the Prize value. Each Prize consists of only the item specifically listed as part of the Prize.  In no event will SoulCycle be obligated to award more than the stated number of Prizes.  SoulCycle reserves the right to substitute any Prize or Prize element with a different item of equal or greater value. Unclaimed Prizes will not be awarded.  Prizes may not be awarded if, among other things, a potential winner does not meet the Sweepstakes eligibility requirements or a Prize is not properly claimed. 

8. PUBLICITY GRANT: Winner, by acceptance of prize, except where legally prohibited, grants permission for SoulCycle and its designees to use his/her name, city and state/province of residence, likeness and/or image and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, in any manner, worldwide in perpetuity, without notice or review or approval.

9. RELEASE OF LIABILITY:  By participating, each entrant agrees to release, indemnify, discharge and hold harmless SoulCycle, Instagram, and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including injury, or death, resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Sweepstakes or any Sweepstakes-related activity, and/or the acceptance, possession, use or misuse of the prize (including any travel or activity related thereto).

10.  GENERAL CONDITIONS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled, postage-due or illegible mail, entries, or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, the tracking of classes, the announcement of the prize or in any Sweepstakes -related materials.  Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Sweepstakes. Persons who tamper with or abuse any aspect of the Sweepstakes who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by SoulCycle, will be disqualified and all associated entries will be void. Should any portion of the Sweepstakes be, in SoulCycle’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the SoulCycle, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, SoulCycle reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes and, if terminated, at its discretion, randomly select the potential winner from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by SoulCycle. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE SWEEPSTAKES OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SOULCYCLE RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
